These Terms of Use (“Terms”) govern access to and use of websites, applications, platforms and digital services operated by Owl Haus Private Limited, publicly known as Sun & Owl (“Sun & Owl”, “we”, “us” or “our”), including BUMRUM and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
1. About Sun & Owl
Owl Haus Private Limited is an Indian private limited company that develops, owns and operates digital products and services. Sun & Owl is the public-facing brand of Owl Haus Private Limited. BUMRUM is an activity-first social discovery product intended to help adults discover activities, connect with people around shared interests and participate in real-world activities and events.
2. Eligibility
The Services are intended only for individuals who are 18 years of age or older. By using the Services, you represent that you are at least 18 and legally capable of entering into these Terms. We do not knowingly permit children to use the Services.
3. Accounts and Registration
- You may be required to create an account and provide accurate, current and complete information.
- You are responsible for keeping your account credentials secure and for activity carried out through your account.
- You must not impersonate another person, create a deceptive identity, create accounts for unlawful purposes or provide information that is materially false or misleading.
- We may require verification of information, including mobile number, email address, age or other information, where reasonably necessary for security, fraud prevention or service operation.
4. BUMRUM and Real-World Activities
BUMRUM is designed to facilitate discovery and connection around activities, sports, hobbies, fitness, recreation and social experiences. Some activities may involve meeting other users or participating in events in physical locations.
Sun & Owl does not guarantee the identity, background, conduct, qualifications, intentions, safety or suitability of any user, host, organiser, venue, activity provider or other third party. You are responsible for exercising reasonable judgment and taking appropriate precautions before meeting or participating in any activity.
You participate in real-world activities voluntarily and at your own discretion and risk. You should consider your own health, fitness, experience, equipment, transportation, venue conditions and other relevant circumstances before participating.
5. User Conduct
You agree not to:
- harass, threaten, stalk, intimidate, bully or abuse another person;
- post or transmit hate speech, threats, sexually exploitative material or content that promotes violence or illegal activity;
- impersonate another person or misrepresent your identity, qualifications or affiliation;
- use the Services for fraud, scams, phishing, money laundering or other unlawful purposes;
- publish another person's private or confidential information without appropriate authority;
- send spam, unsolicited commercial communications or repeated unwanted messages;
- create fake accounts or manipulate engagement, recommendations, rankings or other platform systems;
- circumvent safety, security, age-verification, access or payment controls;
- upload malware, malicious code or content intended to disrupt the Services;
- use automated scraping, bots or similar methods to access or collect information from the Services without our written permission;
- use the Services to organise unlawful activities or activities that create an unreasonable risk to others.
6. User Content
You retain ownership of content you submit to the Services, including photographs, videos, descriptions, comments, reviews and activity information, subject to rights you grant us under these Terms.
You grant Sun & Owl a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, store, reproduce, adapt, display, distribute and otherwise use your content solely as reasonably necessary to operate, provide, secure, improve and promote the Services. This licence continues only for as long as reasonably necessary for those purposes and subject to applicable law.
You represent that you have the rights and permissions necessary to submit your content and that its use by us as permitted by these Terms does not infringe another person's rights.
7. Content Moderation and Safety
We may review, moderate, restrict, remove or disable access to content, accounts or features where we reasonably believe this is necessary to protect users, comply with law, enforce these Terms, prevent fraud or abuse, or protect the integrity of the Services.
We may use automated systems, human review and, where appropriate, AI-assisted tools for safety, moderation, recommendations, fraud prevention and service support. Automated tools may make mistakes, and we may take additional steps to review important decisions.
8. Location and Activity Features
Certain Services may request access to precise device location to provide nearby discovery, distance-based features, event functionality, safety tools or other location-dependent services. Where enabled, location information may be stored and used as described in our Privacy Policy.
You control device-level location permissions, but disabling location may limit features that depend on it.
9. Emergency and Safety Features
Where available, BUMRUM may provide safety or emergency features, including an SOS function. Such features are supplementary tools and are not emergency-response services. They do not replace contacting local emergency services or taking immediate personal safety measures.
10. Payments, Subscriptions and Third-Party Payment Providers
Some Services may be paid or may offer subscriptions, premium features or other purchases. Payments may be processed by third-party payment providers such as Razorpay or Stripe. Sun & Owl does not ordinarily store complete card or bank-account credentials on its own systems.
Prices, billing cycles, taxes, renewal terms, cancellation rules and applicable refund conditions will be presented at the point of purchase or in applicable product-specific terms.
11. Third-Party Services and Links
The Services may integrate with or link to third-party services, including analytics, advertising, payment, communications, hosting, security, identity verification and other technology providers. Your use of a third-party service may be governed by that provider's terms and privacy practices. Sun & Owl is not responsible for the independent acts, omissions or policies of third parties.
12. Intellectual Property
Except for user content and third-party materials, all rights in and to the Services, including software, interfaces, designs, text, graphics, trademarks, logos, names, databases and other materials, belong to Owl Haus Private Limited or its licensors. Nothing in these Terms grants you ownership of those rights.
You may not copy, modify, distribute, sell, lease, reverse engineer or create derivative works from our Services or intellectual property except where applicable law expressly permits it.
13. Feedback
If you provide suggestions, ideas, feedback or proposed improvements, you grant us the right to use them without restriction or compensation, provided we do not thereby disclose personal information contrary to our Privacy Policy.
14. Privacy
Your use of the Services is also subject to our Privacy Policy and Privacy Principles. These documents explain how we collect, use, disclose, protect and retain personal data. Our privacy contact is privacy@sunandowl.com.
15. Advertising and Sponsored Content
The Services may display advertising, sponsored activities, promoted content, brand partnerships or other commercial placements. We may use information permitted by applicable law to measure and improve advertising performance. We do not sell personal data as a business practice.
16. Beta and Experimental Features
Some Services, including BUMRUM during beta or testing, may be experimental. Features may change, be withdrawn, contain errors or have limited availability. We may invite selected users to test new functionality and may collect feedback and technical information associated with testing.
17. Suspension and Termination
We may suspend, restrict or terminate access to all or part of the Services if you breach these Terms, create a safety or security risk, engage in unlawful conduct, provide materially false information, misuse the Services, or where we reasonably believe action is necessary to protect users or the Services.
You may stop using the Services at any time and may request account deletion through available account controls or by contacting us.
18. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as available” and “as is” basis. We do not warrant that the Services will always be uninterrupted, error-free, secure or available in every location, or that any user, activity, event, recommendation or third-party service will meet your expectations.
19. Limitation of Liability
To the maximum extent permitted by law, Owl Haus Private Limited and its directors, officers, employees, contractors, affiliates and licensors will not be liable for indirect, incidental, special, consequential or punitive losses arising from or related to your use of the Services. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
20. Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold harmless Sun & Owl and its directors, officers, employees, contractors and affiliates from claims, losses, liabilities and reasonable expenses arising from your unlawful use of the Services, your breach of these Terms, your content, or your violation of another person's rights.
21. Changes to the Services or Terms
We may modify the Services and these Terms from time to time. Where changes are material, we will provide notice by reasonable means. Your continued use after the updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
22. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. The parties will first attempt in good faith to resolve disputes amicably.
If a dispute cannot be resolved amicably, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration shall be Chennai, Tamil Nadu, India. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, failing which appointment shall be made in accordance with applicable law. The language of arbitration shall be English.
Subject to the arbitration clause and applicable law, courts in Chennai, Tamil Nadu shall have jurisdiction over matters that are not capable of arbitration or require court intervention.
23. General
- If any provision is found invalid or unenforceable, the remaining provisions will continue to apply.
- Our failure to enforce a provision does not constitute a waiver.
- You may not assign your rights or obligations under these Terms without our prior written consent, except where applicable law permits otherwise.
- These Terms, together with applicable product terms and privacy notices, form the agreement between you and Sun & Owl concerning the Services.
